1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of FleetService.AI, operated by AI Venture Holdings LLC (“Company”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

FleetService.AI is a cloud-based fleet inspection and compliance management platform that enables fleet managers to track vehicle inspections, manage Driver Vehicle Inspection Reports (DVIRs), monitor defects, coordinate with drivers, and maintain regulatory compliance records.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized account access
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind your organization to these Terms if registering on behalf of a company

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations
• Falsify inspection records, driver logs, or compliance documentation
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Introduce viruses, malware, or other harmful code
• Use automated means to scrape or extract data from the Service without our written consent
• Resell or sublicense access to the Service without authorization

5. Subscription and Payment

Access to certain features requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually) and will auto-renew unless cancelled before the renewal date. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

6. Data and Compliance Records

You retain ownership of all fleet data, inspection records, and compliance documentation you input into the Service. You grant us a limited license to store, process, and display this data solely to provide the Service. You are solely responsible for ensuring your records comply with applicable regulations, including FMCSA requirements. We do not guarantee that use of the Service satisfies any specific regulatory obligation.

7. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by AI Venture Holdings LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. Nothing in these Terms transfers any ownership rights to you.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AI VENTURE HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your account at any time through the account settings. We may suspend or terminate your access at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will provide a reasonable opportunity to export your data following termination.

11. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.

12. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice by email or prominent notice within the Service. Your continued use after the effective date constitutes acceptance of the revised Terms.
